I. INTRODUCTION OF AGREEMENT

The following terms and conditions (along with the Guidelines, as defined below, referred to as the “Terms & Conditions”) govern your use of and access to any website owned and/or operated by Léonella or its affiliates (“Léonella,” “us,” or “we”), including the site currently available at www.leonella97.com and all related subdomains, along with any features, content, materials, products, or services offered there (collectively, the “Websites”).

These Terms & Conditions form a legally binding agreement between you, the individual user or entity (“you” or “User”), and Léonella regarding your use of the Websites. Both you and Léonella are individually referred to as a “Party” and together as the “Parties.”

By using the Websites, you agree to abide by any additional guidelines or rules that may be posted for specific services or features from time to time (the "Guidelines"). These Guidelines are incorporated into these Terms by reference. If you are using the Websites on behalf of a company, organization, or other entity, then: (a) "Users" refers to both you and the entity; (b) you confirm that you are an authorized representative of the entity with the authority to bind it to these Terms, and you accept these Terms on the entity's behalf; and (c) your entity assumes full legal and financial responsibility for your use of the Websites.

Before using the Websites, please take a moment to review the following carefully. By accessing, browsing, or using the Websites, you confirm that you have read, understood, and agree to be bound by these Terms. You also affirm that you are legally capable of entering into and agreeing to these Terms. If you do not agree with these Terms at any point, please stop using the Websites immediately.

II. USER RIGHTS AND RESPONSIBILITIES

By using any of the Websites, you agree to abide by these Terms & Conditions.

a. Eligibility: You may not use the Websites unless you are at least eighteen (18) years old. If you are over eighteen (18) but under eighteen (18), you are only allowed to use the Websites if your parent or guardian agrees to these Terms & Conditions on your behalf before you access the Websites.

b. Privacy Notice: Léonella values your privacy. Please review the Privacy Policy on the Websites to understand how Léonella collects, uses, and discloses your personal information.

c. Modification of the Terms & Conditions: Léonella reserves the right to change, modify, add, or remove parts of these Terms & Conditions at any time. When changes are made, the “Last Updated” date will be updated accordingly. If a significant change occurs, we will make reasonable efforts to notify you via the most recent email address associated with your account. Please check the Terms & Conditions regularly for updates. Your continued use of the Websites after any changes to these Terms & Conditions will signify your acceptance of those changes. If you disagree with any modifications, please discontinue your use of the Websites. Changes will not apply to any disputes that have already been initiated in arbitration before the updated Terms.

d. Access and Linking to the Websites: The Websites are operated by Léonella from the United States. We make no claims that the Websites are suitable or available for use in other locations. If you access or use the Websites from outside the U.S., you are responsible for complying with local laws. To the extent permitted by local law, you waive any rights to claim or seek protections in your jurisdiction that may not be available in the United States.

e. Ownership; Proprietary Rights: The Websites, including all content, text, visuals, interactive features, audio, video, audiovisual material, information, graphics, design, computer code, copyright, products, software, services, proprietary information, service marks, names, logos, and the arrangement of all elements, are owned and/or licensed by Léonella and are protected by U.S. federal and state intellectual property laws, as well as relevant international laws, regulations, and treaties.

You agree not to sell, license, distribute, copy, modify, publicly perform, display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Websites or Léonella Materials. All rights not explicitly granted in these Terms are reserved by Léonella. You do not acquire any ownership, title, or interest in the Léonella Materials, except for the limited rights expressly outlined in these Terms.

e. Prohibited Use of the Websites: By using the Websites, you agree not to engage in any unlawful or prohibited activities, as outlined in these Terms. Any use of the Websites or Léonella Materials beyond personal use is strictly forbidden. You agree not to reproduce, duplicate, sell, trade, resell, distribute, or exploit any part of the Websites obtained through them for anything other than personal use.

You also agree not to use the Websites if you do not meet the eligibility criteria specified above. You will not defame, harass, abuse, threaten, stalk, or deceive other users, nor attempt to gather personal information about users or third parties without their consent.

Additionally, you agree not to interfere with or damage the operation of the Websites or disrupt other users' experiences, including but not limited to uploading or spreading harmful code (e.g., viruses, spyware, or adware), or overloading the Websites with the intent to deny service to others.

You agree not to remove, bypass, disable, damage, or interfere with any security features of the Websites, nor any features that prevent or limit the use or copying of parts of the Websites, or enforce restrictions on how the Websites are used.

You also agree not to attempt unauthorized access to the Websites or any related systems, accounts, or networks, through hacking, password cracking, or any other methods. Additionally, you will not overburden, disrupt, or interfere with the proper operation of the Websites or any activities conducted on them.

You agree not to obtain materials or information through any means not intentionally made available on the Websites. You will not modify the Websites in any way (except for contributing User Content as permitted by the Websites' functionality and in accordance with these Combined Terms), nor use altered versions of the Websites to gain unauthorized access.

Finally, you agree not to use any automated tools (such as robots, spiders, or scrapers) to access, scrape, mine, extract, collect, or copy information from the Websites for any purpose without our explicit prior written consent, or to bypass any protective measures we have in place to prevent or limit such access.

You agree not to use any Léonella logos or graphics without obtaining our explicit prior written permission.

You agree not to send unsolicited offers, advertisements, proposals, or spam to other Users of the Websites. This includes, but is not limited to, unsolicited advertising, promotional materials, bulk commercial mail, chain letters, informational announcements, charity appeals, or petitions for signatures.

You agree not to reverse engineer, decode, or try to uncover the source code of the Websites or any part of them, except as allowed by applicable law despite this restriction.

You agree not to alter, adapt, or create derivative works based on the Websites or any of its contents, except as permitted by applicable law despite this limitation.

You agree not to impersonate someone else or entity, or to falsely claim an affiliation with any person or entity.

IV. PAYMENT AND REFUND POLICY

Purchases: The Websites may allow you to buy certain products or services, including those from third party, Square. This is for personal use only. Léonella has the right to refuse to sell any products if we reasonably believe that want to resell them. We also can deny access to certain products entirely.

Special products, such as limited editions or preorders, may come with additional terms, which will be provided separately for each item. Be sure to review the specific terms for each product on the relevant page of the Website before making a purchase. For any purchases made on shop.leonella97.com, the following restrictions apply: A maximum of six items per product, for each customer.

You acknowledge and confirm that all information you provide for purchasing products, including but not limited to credit card, PayPal, or other payment details, is accurate, up-to-date, and complete. You represent and warrant that you have the legal authority to use the payment method you provide, including any credit card used to complete the transaction.

We reserve the right, at our sole discretion and with or without notice, to (i) change, discontinue, or limit the availability of any products, and (ii) refuse to allow any User to purchase products or to deliver them to the User or their designated address. By purchasing products, you (a) agree to pay the listed price for the products as shown on the relevant page of the Websites, along with any shipping, handling, and applicable taxes (the "Full Purchase Amount"), and (b) authorize us to charge your payment method for the Full Purchase Amount

Léonella reserves the right to modify the pricing, availability, specifications, content, descriptions, or features of any products at any time. While we strive to provide accurate descriptions of the products, we do not guarantee that these descriptions are complete, reliable, current, or error-free. The listing of any products for sale on the Websites at a given time does not guarantee their availability at any future time. We may adjust the prices of products at any time and correct any pricing errors that occur (including canceling orders that were placed with incorrect pricing, at our sole discretion).

V. CHANGES TO OUR TERMS AND CONDITIONS

We reserved the right to change the contents of our Terms and Conditions. Intended audience will be notified if and when these changes occurs. This Terms and Conditions page will be updated as needed.
